The investigation focuses on whether Axon and certain of its officers and/or directors violated federal securities laws. On October 19, 2017, the Company announced that the U.S. Securities & Exchange Commission (“SEC”) is reviewing its financial statements. The SEC issued three letters in August and September seeking additional information relating to Axon’s Form 10-K for the year ended December 31, 2016 and Form 10-Q for the quarter ended March 31, 2017. In the SEC’s third letter dated September 20, 2017, it stated its inquiries remained “outstanding and unresolved, and absent a substantive response, we would act consistent with our obligations under the federal securities laws.” Following this news, Axon’s stock price dropped.
