PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, N-CSR or the transition report portion thereof, could not be filed within
the prescribed time period.

         On March 19, 2004, the registrant completed the acquisition of Meridian
Occupational Healthcare Associates, Inc., doing business as CHD Meridian
Healthcare, a Delaware corporation pursuant to a Merger Agreement, dated as
December 26, 2003, as amended, among the registrant, CHD Meridian Healthcare,
two wholly-owned subsidiaries of the registrant.

         This acquisition requires the registrant to modify significantly
several parts of its Annual Report on Form 10-KSB and, consequently, the
registrant requires additional time to permit its officers, directors and
professional advisors to review the modified Annual Report on Form 10-KSB.
