State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
PolyOne Corporation (the “Company”) has experienced unexpected delays in the filing of its Quarterly Report on Form 10-Q for the quarter ended September 30, 2006 within the prescribed time period due to delays experienced in completing the Company's financial statements as of and for the period ended September 30, 2006. As previously reported, in response to a comment raised by the staff of the SEC concerning the Company's segment disclosure and to ensure that its financial reporting remains in full compliance with generally accepted accounting principles, the Audit Committee of the Board of Directors of the Company concluded that the Company's financial statements, including the segment information included therein, (i) as of and for each of the fiscal years ended December 31, 2005, 2004 and 2003, (ii) as of and for each of the three fiscal months ended March 31, 2006 and 2005, and (iii) as of and for each of the three and six fiscal months ended June 30, 2006 and 2005 (collectively, the “Historical Financial Statements”) will be amended and restated. The Company is currently in the process of amending and restating the Historical Financial Statements, and cannot complete its financial statements as of and for the period ended September 30, 2006 until the Historical Financial Statements have been amended and restated. The Company estimates that it will be able to amend and restate the Historical Financial Statements by the end of November 2006. Accordingly, the Company expects to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2006 as soon as practicable after the Historical Financial Statements are amended and restated.
