Item 1.01. Entry into a Material Definitive Agreement.
     On March 2, 2006, PolyOne Corporation’s Compensation and Governance Committee of the Board of Directors approved a one-time recognition award in the amount of $50,000 to William F. Patient, who served as interim Chairman, President and Chief Executive Officer of the Company from October 6, 2005 to February 21, 2006, while the Board was engaged in a CEO search. The award is in recognition of Mr. Patient’s leadership and contributions during the CEO-transition period, as evidenced by PolyOne’s performance during such period.
