Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     On February 6, 2008, the Executive Compensation Committee (the “Committee”) of the Board of Directors of Insteel Industries, Inc. (the “Company”) approved an increase in the annual salary of James F. Petelle, Vice President-Administration and Secretary, from $150,000 to $160,000. The increase will be effective February 11, 2008.
