Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) Amendment to Articles of Incorporation.
On May 11, 2007 Crawford & Company (the “Company”) filed with the Secretary of State of the
State of Georgia amended and restated Articles of Incorporation (the “Amended and Restated Articles
of Incorporation”), which became effective on such date. The Amended and Restated Articles of
Incorporation remove Article II in its entirety. Article II designated Fulton County, Georgia as
the place for the principal office of the Company and the Company intends to move its corporate
headquarters outside Fulton County. A copy of the Amended and Restated Articles of Incorporation
is attached as Exhibit 3.1 hereto.
