ITEM 2.02. Results of Operations and Financial Condition

On February 6, 2006, Crawford & Company (the "Company") issued a press
release containing information about the Company's financial condition, results
of operations, and cash flows for the fourth quarter of 2005 and year ended
December 31, 2005. A copy of the press release is attached hereto as Exhibit
99.1.

The press release contains non-GAAP financial measures and a reconciliation
to the related GAAP measure is included. Operating earnings is one of the key
performance measures used by the Company's senior management to evaluate the
performance of its business and make resource allocation decisions. The Company
believes this measure is useful to investors in that it allows them to evaluate
its performance using the same criteria that management uses.
