(1) On December 31, 2013 Mr. Bassani converted $110,000 of his outstanding convertible note at a price of $.84 per unit into 130,953 units with each unit consisting of one share of common stock and one five year warrant exercisable at $2.50 per share. 65,477 of the warrants were issued to Mr. Bassani's wife, who later gifted the warrants to others. Mr. Bassani gifted his warrants to the Danielle Christine Bassani Trust (Mr. Basani's daughter who is living at home), and the shares were gifted to others.
