State below in reasonable  detail the reasons why Forms 10-K,  20-F, 11-K, 10-Q,
-SAR, or the transition report or portion thereof, could not be filed within the
prescribed time period.

In September 2006, the registrant changed its certifying accountants. In working
with its new  independent  auditors,  there  has  been a delay  in the  auditors
completing  their review of the current  report and thus, the registrant has not
been able to file its Form 10-QSB by the due date.  Management  believes that it
will be able to complete and file its Form 10-QSB for the period ended September
30, 2006 within the prescribed extension period.
