The company is accounting for the acquisition of J&B Wholesale Produce, Inc. and
cannot complete Form 10K for the period ending December 31, 2002 without
unreasonable  effort and expense.

The company will be accounting for operations in the J&B Wholesale Produce, Inc.
wholly-owned subsidiary for operations from the date of the purchase of J&B
(July 1, 2002) until the end of the reporting period (December 31, 2002). The
Condensed Balance Sheets filed with the Company's Form 10-QSB/A filed on
September 30, 2002 are incorporated herein by reference.
