(1) These shares were issued (at a value of $3.00 per share) as a portion of the reporting person's severance in connection with his separation from employment with the issuer in May 2006 pursuant to the terms of the reporting person's amended and restated employment agreement with the issuer.
(2) The shares reported on this Form 4 were issued under the issuer's 2003 Amended and Restated Equity Incentive Award Plan pursuant to the reporting person's election to receive his cash compensation for director service for the quarterly period ended December 31, 2006 in shares of common stock. The reporting person earned $4,000 in fees for such period pursuant to the issuer's director compensation policy for serving as a director, plus an additional $1,500 in fees for attendance at board meetings during such period, also pursuant to the issuer's director compensation policy. The shares reported on this Form 4 were valued at the closing price of the issuer's common stock on March 21, 2007.
(3) By Michael T. Hale Trust dated December 26, 1991 for the benefit of Shane Hale, Tara Hale, Erin Hale and David Garrett Hale. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission of beneficial ownership for purposes of Section 16 or for any other purpose.
