(b) Retirement of Named Executive Officer

On January 29, 2019, Humana Inc. (the “Company”) announced that Christopher M. Todoroff, Chief Legal Officer, has decided to retire from that position effective January 31, 2019, after which date he has agreed to serve as Special Counsel to the Company, providing advice and counsel as requested by the Company in connection with ongoing legal matters.
