Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers.
On December 13, 2018, the Compensation Committee of the Board of Directors of PolyOne Corporation (the Company) approved the termination of the Amended and Restated PolyOne Corporation Senior Executive Annual Incentive Plan (most recently approved by the Companys shareholders in 2015) (the SEAIP). Any annual incentive award opportunities granted under the SEAIP prior to December 13, 2018 will continue in effect in accordance with their terms and the applicable terms of the SEAIP had it not been terminated. No new annual incentive award opportunities will be provided under the SEAIP after December 13, 2018, and it is expected that future annual incentive awards to senior executives will be granted under the PolyOne Corporation 2017 Equity and Incentive Compensation Plan (or any successor plan that may be adopted in the future).
