Item 1.01 Entry into a Material Definitive Agreement

On May 30, 2018, T2 Biosystems, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Leerink Partners LLC, as representative of the several underwriters named therein (collectively, the “Underwriters”), pursuant to which the Company agreed to issue and sell an aggregate of 6,100,000 shares of the Company’s common stock to the Underwriters (the “Offering”). The shares of common stock were sold to the public at an offering price of $7.50 per share and were purchased by the Underwriters from the Company at a price of $7.05 per share. The Company also granted the Underwriters a 30-day option to purchase up to an additional 915,000 shares of common stock at the same price per share, which the Underwriters exercised in full. All of the shares of common stock were offered by the Company.

The shares were sold in the Offering pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-206707) previously filed and declared effective by the Securities and Exchange Commission (the “SEC”) and a prospectus supplement and accompanying prospectus filed with the SEC.

The Offering closed on June 4, 2018. The gross proceeds from the Offering, based on the price to the public of $7.50 per share, including from the Underwriters’ exercise of their option to purchase an additional 915,000 shares, were $52,612,500. The Company estimates that its offering expenses, including legal costs and various other fees but excluding the Underwriters’ discounts and commissions, will be approximately $210,000.
