ITEM 1.01 – ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On April 26, 2016, Crown Castle International Corp. (“Company”) entered into an underwriting agreement (“Underwriting Agreement”) with Barclays Capital Inc., Credit Agricole Securities (USA) Inc., Morgan Stanley & Co. LLC, SunTrust Robinson Humphrey, Inc., and TD Securities (USA) LLC, as representatives for the several underwriters (“Underwriters”), pursuant to which the Company agreed to issue and sell to the Underwriters $250 million aggregate principal amount of the Company’s 3.400% Senior Notes due 2021 (“Additional 2021 Notes”) and $750 million aggregate principal amount of the Company’s 3.700% Senior Notes due 2026 in a registered public offering (“Offering”) pursuant to the Company’s shelf registration statement on Form S-3 (Registration File No. 333-203074). The Additional 2021 Notes will be issued as additional notes under the same indenture as the Company’s 3.400% Senior Notes due 2021 that were originally issued on February 8, 2016, and, as such, will form a single series with, have the same terms as, and trade interchangeably with, such previously issued notes. For a complete description of the terms and conditions of the Underwriting Agreement, please refer to the Underwriting Agreement, which is filed as Exhibit 1.1 hereto, and is incorporated herein by reference.
