Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) On August 21, 2014, Barry Sternlicht notified the board of directors of Restoration Hardware Holdings, Inc. (the “Company”) that he intends to resign from the board in the near future due to the demands on his time as a result of other professional activities, including his role as the Chairman and CEO of Starwood Capital Group and service on the Boards of Directors of several other public companies. No definitive resignation date has been set by Mr. Sternlicht at this time. Mr. Sternlicht’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The board of directors is actively searching for an independent director to replace Mr. Sternlicht.
