Item 8.01 Other Events.

On June 20, 2013, Sprint Nextel Corporation (“Sprint”) and Clearwire Corporation (“Clearwire”) announced that they had agreed to amend their merger agreement providing for the acquisition by Sprint of the approximately 50 percent stake in Clearwire that it does not currently own. Sprint also announced that it had entered into voting and sale agreements with a group of significant Clearwire stockholders pursuant to which such stockholders agreed to vote their shares in support of the transaction, and pursuant to which Sprint and such stockholders agreed to certain stock purchase arrangements triggered upon any termination of the merger agreement. As part of these agreements, Sprint and such stockholders also entered into mutual releases in favor of each other relating to the transaction. Starburst II, Inc. (the “Company”) agreed to become a party to these agreements for the limited purpose of joining in providing to such stockholders, and receiving the benefit from such stockholders of, these releases. A copy of the joint press release of Sprint and Clearwire announcing these arrangements is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
