In accordance with the provisions of that certain Indenture, dated as of August 20, 2004 (as supplemented, the Indenture), by and among Blockbuster Inc. (the Company), its subsidiary guarantors party thereto, and The Bank of New York Trust Company, N.A., as Trustee, in respect of the Companys 9% Senior Subordinated Notes due 2012 (the Junior Notes), semiannual interest payments are to be made on the Junior Notes on March 1 and September 1 of each year. However, pursuant to Section 10.03 of the Indenture, the Company is prohibited from paying interest on the Junior Notes if any Designated Senior Indebtedness (as defined in the Indenture) of the Company is not paid in full in cash when due.
On July 1, 2010, the Company failed to redeem a portion of its 11.75% Senior Secured Notes due 2014 (the Senior Notes) or to make its scheduled interest payment on the Senior Notes. As a result, the Company is prohibited from making, and did not make, its scheduled interest payment on the Junior Notes on September 1, 2010.
