Item 2.02. Results of Operations and Financial Condition.

On August 7, 2007, Kindred Healthcare, Inc. (the “Company”) issued a press release announcing its financial results for the second quarter ended June 30, 2007, re-establishing its fiscal 2007 earnings guidance and introducing preliminary earnings guidance for fiscal 2008. The press release, dated August 7, 2007, is attached as Exhibit 99.1 to this Form 8-K. On August 7, 2007, the Company also made the press release available on its website at www.kindredhealthcare.com.

The information contained herein is being furnished pursuant to Item 2.02 of Form 8-K, “Results of Operations and Financial Condition.” This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

Item 7.01. Regulation FD Disclosure.

The Company also announced that its Board of Directors has authorized up to $100 million in common stock repurchases. The authorization allows for repurchases of up to $50 million of common stock during 2007 and the remainder during 2008. The Company intends to finance any repurchases from operating cash flows or borrowings under its revolving credit facility. The authorization includes both open market purchases as well as private transactions. As of June 30, 2007, the Company had 40,917,330 shares of common stock outstanding.
