Item 5.02(d) Election of Directors.

On February 14, 2007, Blockbuster’s Board of Directors elected Mr. James W. Crystal to serve on the Board of Directors. Mr. Crystal has been appointed as a member of Blockbuster’s Compensation Committee. In connection with Mr. Crystal’s appointment, he will participate in Blockbuster’s previously disclosed compensation program for its non-employee directors and will receive an equity grant pursuant thereto. Mr. Crystal is currently the Chairman and Chief Executive Officer of Frank Crystal & Company, Inc., a private insurance brokerage firm based in New York, New York.
