Item 1.01 Entry into a Material Definitive Agreement.

On January 19, 2007, Kindred Healthcare, Inc. (the “Company”) entered into a consent and waiver (the “Consent”) pursuant to its $400 million Amended and Restated Credit Agreement dated as of June 28, 2004 among the Company, the Lenders party thereto, and JPMorgan Chase Bank, N.A. (formerly known as JPMorgan Chase Bank), as Administrative Agent and Collateral Agent.

The Consent authorizes certain transactions to lease and operate eight nursing centers in the California market.

A copy of the Consent is attached hereto as Exhibit 10.1.
