Item 8.01 Other Events.

 

On March 25, 2005, Blockbuster Inc. (“Blockbuster”) issued a press release announcing that its offer to acquire all of the outstanding shares of Hollywood Entertainment Corporation (“Hollywood”) for $14.50 in value, comprised of $11.50 in cash and $3.00 in Blockbuster class A common stock, and its offer to purchase for cash any and all of the outstanding 9.625% Senior Subordinated Notes due 2011 issued by Hollywood expired in accordance with their terms at midnight, New York City time, on March 24, 2005. A copy of the press release is attached hereto as Exhibit 99.1.
