This Amendment No. 3 amends and supplements the Tender Offer Statement on Schedule TO, as amended (the “Schedule TO”) filed on February 2, 2005 by Blockbuster Inc., a Delaware corporation (“Blockbuster”). This Schedule TO relates to the offer (the “Offer”) by Blockbuster to exchange each outstanding share of common stock of Hollywood Entertainment Corporation, an Oregon corporation (“Hollywood”), for consideration having an aggregate value of $14.50 per share, consisting of $11.50 in cash and class A common stock, par value $0.01 per share, of Blockbuster (“Blockbuster Class A Common Stock”) having a value of $3.00, on the terms and subject to the conditions described in the prospectus related to the Offer (the “Prospectus”) and the related Letter of Transmittal, which were annexed to the Schedule TO as exhibits (a)(4) and (a)(1)(A), respectively.

 

Blockbuster has filed a registration statement on Form S-4 (the “Registration Statement”) with the Securities and Exchange Commission relating to the Blockbuster Class A Common Stock to be issued to holders of Hollywood common stock in the Offer. The terms and conditions of the Offer are set forth in the Prospectus, which is part of the Registration Statement, and the related Letter of Transmittal.

 

The information set forth in the Prospectus and in the related Letter of Transmittal, including any supplements thereto, are incorporated herein by reference.
