Item 8.01. Other Events
On September 30, 2004, after 18 years at Autodesk, Mike Sutton, Executive Vice President, Business Operations, resigned his executive position and moved to part-time service. He plans to remain with the company in that capacity for an additional year. In connection with options that will vest over Mr. Sutton’s last year of employment, the company has taken a $2.4 million expense charge in the third fiscal quarter.
