On May 3, 2004, QuadraMed Corporation announced the resolution of the previously disclosed investigation by the United States Securities and Exchange Commission concerning the Company. The Company has consented to the issuance of a Cease and Desist Order, without admitting or denying the findings in the Order. A copy of the press release is furnished as exhibit 99.1 to this report.
