ITEM 5. OTHER EVENTS AND REGULATION FD DISCLOSURE
On January 7, 2004, following receipt by the Company of the requisite consents from the holders of each of its 9 1/2% Senior Notes due 2011 (the “9 1/2% Notes”) and its 9% Senior Notes due 2011 (the “9% Notes”, and, together with the 9 1/2% Notes, the “Notes”) obtained in connection with the Company’s tender offer and consent solicitation in respect of the Notes, the Company entered into a supplemental indenture to each of the indentures pursuant to which the Notes were issued.
The supplemental indentures are attached as Exhibit 4.1 and 4.2 to this Form 8-K.
