In order for the Company to complete the preparation of financial information
for its fiscal quarter ended September 30, 2004, the Company requires additional
time to file its Form 10-Q for such fiscal quarter.

The Company expects to report net sales of approximately $8,126,000 for the
fiscal quarter ended September 30, 2004, as compared to net sales of $8,429,000
for the quarter ended September 30, 2003. The Company expects to report a loss
before taxes and minority interest of approximately $241,000 for the fiscal
quarter ended September 30, 2004, as compared to net loss before taxes and
minority interest of $97,000 for the quarter ended September 30, 2003. Net loss
after provision for taxes and minority interest for the quarter ended September
30, 2004 is expected to be approximately $150,000, as compared to net income
after taxes and minority interest of $129,000 for the quarter ended September
30, 2003.
