Item 5.02(b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 20, 2015, PAR Technology Corporation (the "Company") announced the elimination of the position of Chief Operating Officer as of April 14, 2015 at which time Robert P. Jerabeck will be leaving the Company.  Pending his departure Mr. Jerabeck’s duties will be as assigned by the Chief Executive Officer and President, Mr. Ronald J. Casciano.
