ITEM 8.01 OTHER EVENTS
In a press release dated May 19, 2014, The Cheesecake Factory Incorporated (the Company) announced that it has entered into an exclusive licensing agreement with Hong Kong-based Maxims Caterers Limited (Maxims), a diversified operator of full-service and quick-service restaurants as well as bakery and coffee shops in Asia, to build and operate The Cheesecake Factory® restaurants. The agreement, by and between CCF Asia Operating Corporation and CCF Asia IP Corporation, both wholly owned subsidiaries of the Company, and Smart United Asia Limited, a wholly owned subsidiary of Maxims, provides for the development of a minimum of 14 restaurants over the next 10 years in Hong Kong, Macau, Taiwan and the Peoples Republic of China, with the opportunity to expand to Japan, South Korea, Malaysia, Singapore and Thailand. As part of this transaction, The Cheesecake Factory Bakery Incorporated, also a wholly owned subsidiary of the Company, will supply bakery products to the licensed restaurants. The first The Cheesecake Factory® restaurant in Asia is expected to open in fiscal 2015.
