HERTZ FILES REGISTRATION STATEMENT AS NEXT STEP TO ACQUIRE DOLLAR THRIFTY

 

Park Ridge, NJ (May 26, 2010) — Hertz Global Holdings, Inc. (NYSE: HTZ) (“Hertz”) announced today that it has filed a registration statement on Form S-4 with the Securities and Exchange Commission pursuant to its previously announced merger agreement with Dollar Thrifty Automotive Group, Inc. (“Dollar Thrifty”).  The registration statement includes a preliminary prospectus covering shares of Hertz’s common stock to be issued to Dollar Thrifty stockholders under the terms of the merger agreement and also includes Dollar Thrifty’s preliminary proxy statement, seeking the adoption of the merger agreement by Dollar Thrifty’s stockholders.

 

Hertz Chairman and CEO, Mark P.
