(a) Resignation of Director

 

On June 28, 2008, Craig Triance resigned as a member of the Registrant’s board of directors and as chief executive officer of the Registrant’s wholly owned subsidiary, Rubicon Real Estate & Mortgages, Inc. Mr. Triance’s resignation was effective immediately.
