American Axle & Manufacturing Annual Meeting of Stockholders will be held on May 5, 2016 in the Auditorium at AAM’s World Headquarters Complex, One Dauch Drive, Detroit, Michigan, at 8:00 a.m. Eastern Time.

Proposals to be voted on at the meeting are listed below along with the recommendations of our Board of Directors. The Board of Directors recommends that you vote FOR the following proposals:
1.
Election of Directors: 01 - Elizabeth A. Chappell, 02 - John F. Smith
2.
Approval, on an advisory basis, of the compensation of the Company’s named executive officers.
3.
Ratification of the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2016.
4.
In their discretion, the proxies are authorized to the extent permitted by law to vote on any and all other matters as may properly come before the meeting, including the authority to vote to adjourn the meeting.
