Item 2.02. Results of Operations and Financial Condition
On December 22, 2004, Valley Forge Scientific Corp. issued a press release
announcing its financial results for the fiscal year and fourth quarter ended
September 30, 2004. A copy of the press release is attached as Exhibit 99.1 and
is incorporated by reference into this Item 12.
