ITEM 8.01 Other Events

 

On February 15, 2005, the Registrant issued a press release reporting the filing of a registration statement on Form SB-2 with the Securities and Exchange Commission relating to a proposed distribution of approximately 10,000,000 shares of common stock of American Caresource Holdings, Inc., the Registrant’s wholly-owned subsidiary. The distribution will result in the spin-off of the stock of American Caresource Holdings, Inc. to the stockholders of the Registrant. A copy of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.
