5.02(b) DEPARTURE OF DIRECTOR
On
April 14, 2008, Didier Choix notified The Fairchild Corporation (the “Company”)
that he did not wish to stand for re-election to the Board of Directors because
of the extent of his other business committments. Accordingly, his
term as a Director of the Company will end on May 13, 2008, when the Company’s
shareholders will elect Directors for the coming year.
