Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On October 29, 2004, Finisar Corporation (the “Company”) appointed Joseph A. Young to serve as its Senior Vice President, Operations. Prior to joining the Company, Mr. Young served as Director of Enterprise Products, Optical Platform Division of Intel Corporation from May 2001 to October 2004. Mr. Young served as Vice President of Operations of LightLogic, Inc. from September 2000 to May 2001, when it was acquired by Intel, and as Vice President of Operations of Lexar Media, Inc. from December 1999 to September 2000. Mr. Young was employed from March 1983 to December 1999 by Tyco/Raychem, where he served in various positions, including his last position as Director of Worldwide Operations for the OEM Electronics Division of Raychem Corporation. Mr. Young is 47 years old.

     The material terms of Mr. Young’s employment and compensation are as follows. Mr. Young will receive an annual salary of $220,000. In addition, Mr. Young will receive a grant of an option to purchase 400,000 shares of the Company’s common stock, subject to approval by the Company’s board of directors and the terms of the Company’s 1999 Stock Option Plan, and he will be eligible to participate in the Company’s Executive Retention and Severance Plan.
