Item 2.02. Results of Operations and Financial Condition
     On May1, 2008, Cambrex Corporation issued a press release announcing its financial results for the first quarter 2008. The Press Release is attached to this Form 8-K as Exhibit 99.1.

Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangement of Certain Officers.
     Cambrex Corporation is reporting under Item 5.02 (e) that the Compensation Committee of the Board of Directors on March 30, 2008, approved the continuation of a special incentive award in the amount of $1.5 million payable to Mr. Mack, Cambrex’s Chairman, President and Chief Executive Officer upon the completion of the transfer of majority ownership control of the Company during 2008. This special award was previously disclosed in the Company’s Proxy Statement for 2007 for the 2007 Annual Meeting of Stockholders of Cambrex Corporation.
