Item 2.02.  Results of Operations and Financial Condition.

In the first quarter of 2006 Aftermarket Technology Corp. discontinued its Independent Aftermarket transmission and engine businesses and began to present the results of these businesses as discontinued operations in its financial statements. Exhibit 99 to this Current Report are the unaudited consolidated results of operations of Aftermarket Technology Corp. for each quarter of the years ended December 31, 2004 and 2005 reclassified to present the results of the Independent Aftermarket businesses as discontinued operations.

These reclassified results of operations have not been audited and may be subject to change.
