Item 2.02. Results of Operations and Financial Condition

On July 9, 2007, Independent Bank Corporation (the “Company”) issued a press release announcing that the Company expects to record a provision for loan losses in the second quarter of 2007 in a range between $13 million and $16 million. A copy of the press release is attached as Exhibit 99.1.
