EXPLANATORY NOTE
 
This amendment no. 1 to reports on Form 6-K amends the three reports on Form 6-K filed on November 18, 2008, December 3, 2008, and December 11, 2008 by Diana Shipping Inc. (the “Company“) for the sole purpose of incorporating by reference Exhibit 1 from each of these respective reports into the Company's F-3 Registration Statement (File no. 333-143635) that was filed with the Securities and Exchange Commission (the “Commission”) with an effective date of June 15, 2007, and the Company's F-3 Registration Statement (File no. 333-150406) that was filed with the Commission with an effective date of April 24, 2008.
