Item 2.02. Results of Operations and Financial Condition

On May 3, 2007, InfraSource Services, Inc. issued a press release announcing its financial results for its first quarter ended March 31, 2007. A copy of the press release is attached as Exhibit 99.1. InfraSource also held a conference call on May 3, 2007 to discuss its financial results.

InfraSource is providing, attached as Exhibit 99.2, consistent with past practice, the following reconciliation of GAAP and Non-GAAP financial measures.
