Item 8.01 Other Events.

On May 18, 2007, Barrett Business Services, Inc. (the "Company") issued a press release announcing that its board of directors declared a regular, quarterly cash dividend of $0.07 per share to all shareholders of record as of May 31, 2007. The dividend is payable on June 14, 2007.

The press release described above is attached as Exhibit 99.1 to this report and incorporated by reference.
