On January 30,
  2015, Timothy M. Adams, Chief Private Brand Officer for Macy's, Inc.
  (“Macy's”) and one of Macy's named executive officers in its April 2, 2014
  proxy statement, resigned from his position as Chief Private Brand Officer
  and as an executive officer and Section 16(b) officer of Macy's, effective as
  of the conclusion of the 2014 fiscal year.  Mr. Adams will continue as an
