Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 4, 2019, Stephen E. Sterrett informed the Board of Directors (the “Board”) of Realty Income Corporation (the “Company”) of his intention not to stand for re-election to the Board at the Company’s 2019 Annual Meeting of Stockholders (the “2019 Annual Meeting”), due to increased board and other commitments. Mr. Sterrett will continue to serve on the Board until his current term expires on the date of the 2019 Annual Meeting. Mr. Sterrett has served on the Board since October 2014.
Item 7.01 Regulation of FD Disclosure.
On February 4, 2019, the Company issued a press release announcing Mr. Sterrett’s intention not to stand for re-election to the Board. A copy of this press release is furnished herewith as Exhibit 99.1.
