Item 2.02 | Results of Operations and Financial Condition.* |
On November 8, 2016, InnerWorkings, Inc. (the “Company”) issued a press release announcing its financial results for its fiscal quarter ended September 30, 2016. A copy of the press release is attached hereto as Exhibit 99.1.
On November 2, 2016, the Board of Directors approved a two-year extension to the previously announced share repurchase program that was originally authorized on February 12, 2015. The Company now expects the program to run through February 12, 2019. The timing and amount of any share repurchases will be determined based on market conditions, share price and other factors, and the program may be discontinued or suspended at any time. Repurchases will be made in compliance with SEC rules and other legal requirements.
