(1) 18,549 shares are restricted shares issued by the Company. On 8/6/11 2912 shares will become unrestricted; on 6/1/12 5000 shares will become unrestricted; on 8/6/12 2912 shares will become unrestricted; on 6/1/13 5000 shares will become unrestricted and on 8/6/13 2725 shares will become unrestricted.
(2) The Company's Executive Compensation Committe will determine the amount of the performance shares vested after the performance year ends of 12/31/2010.
(3) Each performance share award will provide for the grant of the shares of restricted stock in the year following the performance year based on the Company's total stockholder return in the performance year relative to the Company's peer group and National Association of Real Estate Investment Trusts Retail peers.
