ITEM 1.01  ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.


ITEM 2.01  COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS.


On January 11, 2008, we signed an agreement to sell selected patents and patent applications to PCT Software Data, LLC for net proceeds of approximately $750,000, subject to customary closing conditions. On January 17, 2008, we completed the sale of selected patents and patent applications to PCT Software Data, LLC for net proceeds of approximately $750,000. The patents and patent applications sold relate to bill payments made with debit and stored value cards. We retain a worldwide, non-exclusive license under the patents for use with all current and future customers.
