Item 8.01   Other Events

On October 17, 2013 GFN announced that the GFN board of directors has declared a cash dividend of $2.30 per share on the 9.00% Series C Cumulative Redeemable Perpetual Preferred Stock of GFN (the “Series C Preferred Stock”) that is payable with respect to the period commencing on July 31, 2013 and ending on October 30, 2013. This dividend is payable on October 31, 2013 to Series C Preferred Stockholders of record as of October 30, 2013.

A copy of the press release of GFN dated October 17, 2013 is attached as Exhibit 99.1 and is incorporated by reference herein.
