On September 15, 2005, Nordson Corporation issued a press release announcing several changes to its executive management team and the intended retirement of Donald J. McLane, senior vice president. On August 24, 2006, Nordson Corporation issued a press release announcing Mr. McLane will retire on December 9, 2006 after 24 years as an executive officer of the Company. Copies of the September 15, 2005 and August 24, 2006 press releases are filed with this Form 8-K as Exhibit 99.1 and 99.2 and are hereby incorporated by reference in this Item 5.02(b).

Item 5.02(c) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 24, 2006, Nordson Corporation issued a press release announcing the election of Gregory P. Merk as a corporate vice president effective November 1, 2006.
