Item 1.01 Entry into a Material Definitive Agreement.

On January 23, 2005, Centrue Bank, the wholly-owned subsidiary of the Centrue Financial Corporation (the "Company"), and Carol S. Hoekstra, a Senior Vice President of the Bank, amended Ms. Hoekstra’s employment agreement to extend the term of the agreement through December 31, 2006. All other terms of the employment agreement, which was previously disclosed, remain the same.

A copy of Ms. Hoekstra’s employment agreement is attached hereto as Exhibit 10.1.
